Terms of Service

Effective date: May 26, 2026

These Terms of Service (“Terms”) govern your access to and use of ProManual(“ProManual,” “we,” “us,” or “our”) and its document intelligence software (the “Service”).

By creating an account, clicking “I agree,” or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.


1. Description of Service

ProManual provides AI-powered document intelligence software for HVAC and MEP mechanical contractors. Features include automated document annotation, contract-to-bid comparison, scope gap detection, vendor price tracking, submittal review, and related document analysis tools.


2. AI Output Disclaimer — Please Read Carefully

ProManual uses artificial intelligence to analyze documents. AI systems can and do make mistakes. Use of AI output without independent verification is at your own risk.

Specifically, you acknowledge and agree that:

  • Annotations, discrepancy detections, scope gap identifications, cost estimates, dollar impact figures, equipment schedule data, vendor price comparisons, RFI drafts, and all other AI-generated outputs may contain errors, omissions, or inaccuracies.
  • AI output is provided for informational and review-assistance purposes only. It does not constitute legal, financial, engineering, or professional advice of any kind.
  • AI output is not a substitute for review by qualified professionals — including attorneys, accountants, licensed engineers, experienced estimators, or project managers.
  • ProManual does not guarantee that AI analysis will identify all issues, discrepancies, risks, or material terms in your documents. Missing an item does not constitute a defect in the Service.
  • You are solely responsible for all decisions made in reliance on ProManual output, including contract signings, bid submissions, purchase orders, and any resulting financial commitments.

3. Account Registration

  • You must provide accurate, current, and complete information when registering.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify us immediately at legal@promanual.dev if you suspect unauthorized access to your account.
  • One account per individual. Do not share your credentials.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Upload documents you do not have the legal right to process or analyze.
  • Upload content that is unlawful, harmful, defamatory, or that infringes third-party rights.
  • Attempt to circumvent security measures, access other users’ accounts or data, or probe the Service for vulnerabilities without written permission from ProManual.
  • Scrape, reverse-engineer, decompile, or attempt to extract the Service’s source code or algorithms.
  • Use the Service to process documents in violation of confidentiality obligations you owe to third parties.
  • Resell, sublicense, or redistribute the Service without ProManual’s written consent.

5. Intellectual Property

Your documents are yours. You retain full ownership of all documents you upload and all content generated from them (annotations, comparisons, reports). ProManual claims no intellectual property rights in your document content.

ProManual owns the Service. The software, algorithms, UI, brand, and all underlying technology are owned by ProManualand protected by intellectual property laws. These Terms do not grant you any rights in ProManual’s intellectual property other than the limited license to use the Service.

If you provide feedback or suggestions about the Service, ProManual may use that feedback without obligation to you.


6. Privacy

Our Privacy Policy describes how we collect, use, and protect your data. It is incorporated into these Terms by reference.


7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROMANUAL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, AND NON-INFRINGEMENT.

ProManual does not warrant that: (a) the Service will be uninterrupted or error-free; (b) AI-generated output will be accurate, complete, or suitable for your purposes; (c) the Service will meet your specific requirements; or (d) defects in the Service will be corrected.


8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROMANUAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: LOST PROFITS, LOST CONTRACTS, COST OVERRUNS, MISSED SCOPE ITEMS, VENDOR PRICING DISPUTES, OR ANY CLAIM ARISING FROM RELIANCE ON AI-GENERATED OUTPUT.

PROMANUAL’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO PROMANUAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.


9. Indemnification

You agree to defend, indemnify, and hold harmless ProManual and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.


10. Termination

Either party may terminate at any time. You may stop using the Service and request account deletion by contacting us. ProManual may suspend or terminate your access for violation of these Terms, without prior notice in cases of serious or repeated violations.

Upon termination, your right to use the Service ceases. For cloud accounts, we will retain your data for 30 days after termination to allow data export, then delete it. Sections 2, 7, 8, 9, 11, and 12 survive termination.


11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of courts in Delaware for any dispute not resolved through the process in Section 12.


12. Dispute Resolution

Before filing a formal legal claim, you agree to first contact ProManual at legal@promanual.dev and give us 30 days to attempt to resolve the dispute informally. If the dispute is not resolved within that period, either party may proceed with formal legal proceedings.


13. Changes to These Terms

We may update these Terms at any time. For material changes, we will notify you by email at least 30 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the new Terms, you must stop using the Service and may request account deletion.


14. General

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and ProManual regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force.
  • No Waiver:ProManual’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment:You may not assign your rights under these Terms without ProManual’s written consent. ProManual may assign these Terms in connection with a merger, acquisition, or sale of assets.
